No More Dispute! Appeal Court’s Verdict Seals Fate Of Major Joint Venture

The Lagos Division of the Court of Appeal has affirmed the validity of a Joint Venture Agreement (JVA) in a high-stakes legal dispute, dismissing the appeal filed by Whoba Ogo and two others against Mr. James Onyemenam.

In its unanimous decision, the appellate court upheld the earlier judgment of the Federal High Court, which had confirmed the arbitral award in Onyemenam’s favour.

According to iReporter Online, the panel, led by Justice Abdulazeez Anka, with Justices Zama Senchi and Polycarp Terna Kwahar concurring, ruled that the appeal lacked merit and failed to meet the threshold for overturning an arbitral decision.

The appellants—Woobs Resources, Ukachi Whoba, and Ogo—had challenged the legitimacy of the award, citing misconduct, excess of jurisdiction, and breach of fair hearing. However, the Court of Appeal maintained that the tribunal acted strictly within the scope of its authority.

According to iReporter Online, Justice Anka emphasized that none of the appellants’ claims justified setting aside the award, stating: “All points of attack must fall flat… the appeal is devoid of merit and is dismissed.”

The case originated from a Joint Venture Agreement dated July 11, 2006, under which Onyemenam had approached the Federal High Court (FHC/L/CS/1232/2011) after being allegedly removed as director and CEO of the company in violation of the agreement, without a valid board resolution or shareholders’ meeting.

Following a referral to arbitration due to a clause in the JVA, the tribunal ruled in favour of Onyemenam, declaring that his removal—and that of Sterling Chambers as legal adviser—was illegal.

The tribunal also issued injunctions to restrain the appellants from interfering with his duties or altering the company’s banking structure.
